APG SoftwareThese Terms of Engagement ("Terms") govern the provision of process audit and consulting services by APG Software Solutions Pty Ltd (ABN 31 674 897 262) ("APG", "we", "us") to you, the client ("you", "your"). By proceeding with payment, you confirm that you have read, understood, and agree to these Terms.
1. Scope of Services
We will provide the process audit services as described in your proposal, which may include:
- Full operational audit document
- AI and automation opportunity map
- ROI projection and savings report
- Priority matrix
- Strategy walkthrough call
- Stakeholder and process deep-dive meetings
The specific deliverables for your engagement are outlined in your proposal and close page.
2. What's Excluded
Implementation of recommendations, software development, and ongoing support are not included in the audit engagement unless explicitly stated in your proposal. These are available as separate engagements.
3. Fees and Payment
The engagement fee is the fixed price quoted in your proposal. Payment is due at the time of booking. All fees are in Australian Dollars (AUD) and inclusive of GST where applicable.
4. Money-Back Guarantee
If we do not identify actionable savings or improvements within 7 days of final delivery, you are entitled to a full refund. You keep all deliverables regardless of whether a refund is requested.
5. Data Hosting and Online Portal
You consent to APG hosting your audit findings, process maps, and related deliverables on our secure online portal for the purpose of delivering, reviewing, and collaborating on audit results. Access to your portal is password-protected and limited to authorised personnel you nominate. You may request removal of your data from the portal at any time.
6. Confidentiality
APG treats all information provided by you as confidential. We will not disclose your data to any third party without your prior consent. We may use anonymised or aggregated data from your engagement for case studies or marketing purposes only with your express written permission.
7. Data Retention and Deletion
Your engagement data is retained for 12 months following the completion of the audit. After this period, data may be securely deleted. You may request deletion of your data at any time by contacting us at adam@apgsoftware.com.
8. Intellectual Property
You retain full ownership of your operational data and business information. APG retains ownership of its methodologies, templates, frameworks, and tools. All deliverables produced during the engagement are licensed to you for unlimited internal use within your organisation.
9. Limitation of Liability
To the maximum extent permitted by Australian law, APG's total liability arising from or in connection with the engagement is limited to the fees paid by you for the engagement. APG is not liable for any indirect, incidental, special, or consequential loss or damage. Nothing in these Terms excludes or limits any rights you may have under the Australian Consumer Law that cannot be excluded by agreement.
10. Termination
Either party may terminate this engagement by providing 7 days' written notice. If you terminate early, a pro-rated refund will be provided for any incomplete work. If APG terminates, a full refund will be provided for any undelivered services.
11. Changes to These Terms
We may update these Terms from time to time. The version in effect at the time of your payment is the version that applies to your engagement. Updated Terms will be posted on this page with a revised "Last updated" date.
12. Governing Law
These Terms are governed by the laws of New South Wales, Australia. Any disputes arising from these Terms or the engagement will be subject to the exclusive jurisdiction of the courts of New South Wales.
